Waxhaw Capital Group ("WCG," "we," "us") acts as an M&A broker in reliance on the exemption from broker-dealer registration set out in Section 15(b)(13) of the Securities Exchange Act of 1934. WCG is not a registered broker-dealer, is not an investment bank, and is not a registered investment adviser.

The M&A broker exemption applies only to transactions involving eligible privately held companies as defined by the statute, and only where the buyer, upon completion of the transaction, will control and actively operate the company. Our services are offered only where the exemption applies.
