1. Who we are, and what we are not

Waxhaw Capital Group ("WCG," "we," "us") acts as an M&A broker in reliance on the exemption from broker-dealer registration set out in Section 15(b)(13) of the Securities Exchange Act of 1934. WCG is not a registered broker-dealer, is not an investment bank, and is not a registered investment adviser.

2. What that means in practice

• WCG advises on and facilitates the transfer of ownership of eligible privately held companies.
• WCG does not offer, sell, solicit, or recommend securities.
• WCG does not take custody or possession of client funds or securities.
• WCG does not provide financing for transactions.
• WCG does not have the authority to bind any party to a transaction.

3. Eligibility limits

The M&A broker exemption applies only to transactions involving eligible privately held companies as defined by the statute, and only where the buyer, upon completion of the transaction, will control and actively operate the company. Our services are offered only where the exemption applies.

4. No guarantee of outcome

Nothing on this website is a guarantee of any valuation, price, transaction, or outcome. Any figure, range, or multiple published on this website is illustrative only. It is not an appraisal, not a fairness opinion, and not investment advice.

5. No advisory relationship from this website

Nothing on this website, and no submission through it, creates an advisory or client relationship with WCG. Our services are governed solely by a signed engagement letter.

6. Confidentiality of submissions

Information submitted through this website is treated as confidential, is read by the firm's principals, and is not shared with third parties in the ordinary course. Where an engagement proceeds, confidentiality is governed by a written agreement. Our Privacy Policy describes how submissions are handled and retained.
